Terms of Service

The working rules for remote administrative support, client responsibilities, service scope, payment, confidentiality, and dispute handling.

Please read these Terms carefully. They form the general agreement governing access to this website and the purchase or use of remote administrative support provided by NCODE BIO. A proposal, statement of work, invoice, onboarding record, or written service confirmation may add project-specific terms. When project-specific terms conflict with these Terms, the project-specific terms control only for that engagement.

1. Business and Scope

NCODE BIO began operations on December 13, 2024 and provides remote business support and online administrative services for startups, freelancers, and small businesses. Services may include virtual administrative support, inbox management, calendar and appointment scheduling, document formatting and editing, data entry, spreadsheet organization, digital file organization, cloud storage setup, online research, information collection, CRM data updates, contact management, invoice and basic record preparation on a non-accounting basis, and business document templates.

All services are performed remotely unless a separate written agreement states otherwise. NCODE BIO does not provide in-person staffing, legal representation, tax preparation, bookkeeping, certified accounting, regulated financial advice, employment placement, medical services, or licensed professional services.

2. Acceptance and Eligibility

By using the website, requesting a quote, submitting a form, approving a proposal, paying an invoice, or allowing work to begin, you confirm that you have read, understood, and accepted these Terms. You must be at least eighteen years old and legally capable of entering a binding agreement. When acting for a company or another person, you represent that you have authority to bind that party.

You may not use the services where prohibited by law, for unlawful activity, or in a manner that would require NCODE BIO to violate contractual, privacy, intellectual property, employment, consumer protection, sanctions, export control, or data security obligations.

3. Service Requests, Estimates, and Proposals

Published prices are starting prices or defined package prices for the listed scope. A website price does not guarantee acceptance of a request, immediate availability, a specific completion date, or inclusion of work outside the described service. Before work begins, NCODE BIO may request clarification, sample files, system access, expected volume, deadlines, preferred tools, approval contacts, and information needed to assess complexity.

A quote or proposal may specify deliverables, monthly hours, estimated turnaround, revision limits, dependencies, excluded tasks, payment schedule, and assumptions. Any request that materially changes the volume, format, deadline, tools, risk, or required expertise may require a revised quote or separate approval.

4. Published Services and Pricing

  • Virtual Administrative Support, up to 5 hours per month — $75.
  • Email Inbox Management — $40 per month.
  • Calendar & Appointment Scheduling — $35 per month.
  • Document Formatting & Editing — from $20 per document.
  • Data Entry & Spreadsheet Organization — from $25 per hour.
  • Digital File Organization & Cloud Storage Setup — $50 per project.
  • Online Research & Information Collection — from $30 per task.
  • CRM Data Updates & Contact Management — from $45 per month.
  • Invoice & Basic Record Preparation, non-accounting — from $40 per month.
  • Business Document Templates — from $30 per document.

Monthly package pricing is Starter at $149 per month for up to 10 support hours, Growth at $299 per month for up to 20 support hours, and Business at $499 per month for up to 40 support hours. Package inclusions remain subject to the stated task categories, reasonable volume, access requirements, and any project-specific agreement.

5. Client Responsibilities

You are responsible for supplying accurate, lawful, complete, and timely instructions. You must identify deadlines, required formats, decision-makers, brand standards, approval rules, and legal or regulatory constraints that affect the work. You are responsible for reviewing deliverables before using, publishing, filing, sending, relying on, or distributing them.

You must have the right to provide all documents, data, contacts, credentials, images, templates, records, and other materials supplied to NCODE BIO. You must not direct NCODE BIO to impersonate another person, conceal required disclosures, falsify records, misrepresent communications, access systems without authorization, or process information in a manner that violates law or third-party rights.

6. Accounts, Access, and Credentials

Some services require access to email, calendars, cloud storage, CRM systems, project tools, or document platforms. Access should be limited to what is reasonably necessary. Wherever available, you should use role-based access, delegated access, unique user accounts, and multi-factor authentication rather than sharing a primary password.

You remain responsible for account ownership, account recovery methods, administrator permissions, subscription charges, security settings, and decisions made through your systems. NCODE BIO may refuse to store or use credentials in an unsafe manner and may pause work until a reasonably secure access method is provided.

7. Communication, Approvals, and Turnaround

Turnaround estimates begin only after required information, access, and payment have been received. Estimates are not guarantees unless a written agreement expressly identifies a fixed deadline. Delays caused by missing materials, unclear instructions, third-party outages, late approvals, changed priorities, or expanded scope may move the schedule.

NCODE BIO may rely on instructions from the client contact identified during onboarding. You are responsible for keeping approval authority and contact information current. A lack of response may pause work. Silence does not automatically approve a deliverable unless a written agreement specifically establishes an approval-by-deadline process.

8. Monthly Hours and Use of Capacity

Monthly support hours are used for active work, reasonable preparation, approved meetings, task documentation, and communication directly connected with the engagement. Unless stated otherwise in writing, unused hours expire at the end of the billing period and do not roll over. Hours may not be transferred, resold, or used by unrelated organizations.

Work beyond the included monthly capacity requires approval and may be scheduled at the applicable hourly or project rate. NCODE BIO may decline rush work or tasks that cannot reasonably be completed within the remaining capacity.

9. Corrections and Revisions

Reasonable corrections are available when a deliverable does not match the approved instructions. A correction request must identify the issue clearly and be submitted within the review period stated in the proposal or, when no period is stated, within five business days after delivery. New content, changed instructions, additional formats, expanded research, or a different business objective may be treated as new scope.

Clients remain responsible for final factual, legal, financial, and operational review. Administrative support reduces workload but does not replace client oversight.

10. Payment

Payment obligations are described in the applicable invoice, proposal, package selection, or Payment & Refund Policy. Monthly services are generally billed in advance. Project work may require full payment or a deposit before scheduling. You authorize NCODE BIO and its payment processors to charge the approved amount and applicable taxes.

Failure to pay may result in delayed scheduling, paused work, restricted access to deliverables, collection activity permitted by law, or termination. You remain responsible for approved charges even when an internal employee, contractor, or representative initiated the request on your behalf.

11. Cancellation and Termination

You may cancel according to the Service Cancellation Policy and any project-specific terms. Fees for completed work, reserved time, non-recoverable expenses, and work already in progress may remain payable. Monthly cancellation affects future renewal and does not automatically refund the current billing period.

NCODE BIO may suspend or terminate services for nonpayment, unlawful instructions, abusive conduct, security concerns, repeated failure to provide required materials, material breach, or work that creates unreasonable legal or operational risk. When practical, NCODE BIO will provide notice and a reasonable opportunity to correct the issue.

12. Confidentiality and Data Handling

Client materials are handled according to the Confidentiality & Data Handling Policy and the Privacy Policy. Both parties should protect non-public business information and use it only for the engagement. Confidentiality does not apply to information that is public without breach, independently developed, lawfully received without restriction, or required to be disclosed by law.

You should not provide highly sensitive data unless the scope expressly requires it and appropriate safeguards have been agreed. This includes complete payment card data, passwords sent through unsecured channels, medical records, government identification numbers, biometric data, or regulated information requiring a specialized agreement.

13. Intellectual Property

You retain ownership of materials you provide. NCODE BIO retains ownership of pre-existing methods, workflows, know-how, checklists, internal templates, reusable formatting systems, and general administrative techniques. After full payment, you receive the right to use final custom deliverables created specifically for your business, except for third-party materials and retained background tools.

You may not resell, sublicense, publish as a competing template library, or claim exclusive ownership of general methods or pre-existing components unless a written agreement grants those rights. NCODE BIO may use generalized knowledge gained during an engagement, provided no client confidential information is disclosed.

14. Third-Party Services

Services may involve Shopify, email providers, calendar systems, cloud storage, payment processors, CRM platforms, office software, communication tools, or other third-party products selected by the client or reasonably required for delivery. Those providers operate under their own terms, privacy practices, availability commitments, and pricing.

NCODE BIO is not responsible for third-party outages, data loss, account suspension, feature changes, price changes, security incidents, or decisions by a third-party provider. The client is responsible for maintaining valid subscriptions, backups, administrator control, and compliance with third-party terms.

15. Prohibited Uses

You may not use the website or services to facilitate fraud, deception, harassment, unlawful surveillance, spam, discrimination, identity theft, unauthorized account access, infringement, evasion of taxes or reporting duties, falsification of invoices or records, collection of unlawful debts, or any activity that could reasonably harm another person or organization.

NCODE BIO may refuse tasks involving illegal content, unverified lists of personal contacts, high-risk regulated data, deceptive outreach, or instructions that conflict with professional standards.

16. Independent Contractor Relationship

NCODE BIO acts as an independent service provider. Nothing in these Terms creates employment, partnership, joint venture, fiduciary duty, franchise, agency, or authority to bind the client. NCODE BIO may not sign contracts, approve payments, make regulated decisions, or represent that it has authority beyond the specific administrative permissions granted in writing.

17. Disclaimers

Services are provided with reasonable professional care but are offered on an “as available” basis. NCODE BIO does not guarantee uninterrupted availability, a specific financial result, increased revenue, error-free third-party systems, or the success of any client decision. Research and administrative outputs depend on the quality and completeness of the information supplied.

To the fullest extent permitted by law, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted service are disclaimed. Nothing in these Terms excludes rights that cannot lawfully be waived.

18. Limitation of Liability

To the fullest extent permitted by law, NCODE BIO will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost opportunity, loss of goodwill, loss of data, missed appointments, third-party platform interruption, or business interruption arising from the website or services.

Except where law requires otherwise, total liability arising from a specific engagement will not exceed the amount paid to NCODE BIO for that engagement during the three months immediately preceding the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited.

19. Indemnification

You agree to defend, indemnify, and hold NCODE BIO harmless from third-party claims, losses, liabilities, penalties, and reasonable costs arising from client materials, unlawful instructions, lack of authority, misuse of deliverables, violation of third-party rights, or breach of these Terms. This obligation applies only to the extent permitted by law and does not cover loss caused by NCODE BIO’s own unlawful conduct.

20. Force Majeure

Neither party is responsible for delay caused by events beyond reasonable control, including severe weather, natural disaster, fire, epidemic, war, civil disorder, government action, internet or power failure, widespread platform outage, labor disruption, or failure of a critical third-party provider. The affected party will use reasonable efforts to resume performance.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Before filing a claim, the parties should attempt in good faith to resolve the issue through written notice describing the dispute and requested resolution. Unless applicable law requires another forum, disputes will be brought in the state or federal courts serving Santa Clara County, California.

22. General Terms

If any provision is unenforceable, the remaining provisions remain effective. A waiver must be in writing and applies only to the specific instance. You may not assign an engagement without written consent. NCODE BIO may assign these Terms in connection with a lawful business reorganization, transfer, or sale. Headings are for convenience and do not change interpretation.

These Terms, the applicable proposal, invoice, and incorporated policies constitute the entire agreement concerning the covered services and replace prior discussions on the same subject. NCODE BIO may revise these Terms prospectively. Material changes will be posted on the website or communicated through a reasonable channel.
